Strategy’s Bitcoin Ambitions Face Headwinds as Key Funding Vehicle Dips Below Par
Strategy (NASDAQ: MSTR), the corporate giant renowned for its aggressive Bitcoin accumulation strategy, is facing a significant challenge as its preferred stock, Stretch (STRC), recently plunged below its par value to a historic low. This dip threatens to severely curtail the company’s future capacity to expand its already massive Bitcoin reserves.
On Wednesday, STRC’s closing price plummeted to $89, marking its lowest point since its listing in July 2025. This represents an approximately 11% discount from its $100 par value, sending ripples through the market.
Understanding STRC is crucial to grasping the situation. Preferred stock, a hybrid financial instrument, combines features of both bonds and common equity. It offers fixed or floating dividends and holds precedence over common stock during dividend distributions and asset liquidation. STRC, in particular, employs a floating dividend mechanism, currently boasting an effective dividend yield of 12.9%. This yield is adjusted monthly, specifically designed to keep its market price stable around the $100 par value.
Wall Street traders are closely scrutinizing this discount because STRC serves as a pivotal funding conduit for Strategy’s relentless Bitcoin acquisition drive. Historically, when STRC traded above its $100 par, Strategy leveraged an At-The-Market (ATM) offering program. This allowed the company to issue new shares directly into the market, raising capital that was then immediately deployed to purchase Bitcoin. However, with STRC now trading below par, issuing new shares through this mechanism has become economically unviable, leading Strategy to temporarily suspend the program.
This recent decline in STRC’s value has particularly unnerved investors, especially given past events. Earlier this year, Strategy made headlines when it broke its long-standing “buy-only” Bitcoin policy, a tradition upheld since 2022. On June 1st, the company disclosed that it had sold 32 Bitcoins—worth approximately $2.5 million at the time—in late May. This unprecedented sale was explicitly conducted to generate funds for STRC’s substantial dividend payments.
In an effort to reassure its investor base, Strategy announced last week that it has fortified its reserves to an impressive $1.1 billion. This substantial fund is earmarked specifically for covering preferred stock dividends and debt obligations. Furthermore, the company demonstrated its continued commitment to Bitcoin by separately selling shares of its common stock (MSTR) to finance the purchase of an additional 1,587 Bitcoins.
Despite these funding challenges, Strategy firmly maintains its position as the world’s preeminent corporate “Bitcoin whale.” Its current total Bitcoin holdings stand at approximately 846,842 coins, representing a formidable 4% of Bitcoin’s total supply of 21 million.
While STRC has experienced dips below par in the past, these instances typically coincided with periods of intense Bitcoin price volatility. Intriguingly, Bitcoin itself has shown relative stability this week, consolidating within a narrow range of $64,000 to $65,000. In stark contrast, Strategy’s common stock (MSTR) faced significant turbulence on Wednesday, registering a single-day drop of approximately 5% to close at $116.52, highlighting a divergence in market sentiment between the underlying asset and the company’s equity.
